Novel Nutraceuticals Affiliate Agreement

Please read this Novel Nutraceuticals Affiliate Program Agreement carefully before applying to or participating in the Novel Nutraceuticals Affiliate Program.
This Agreement is legally binding between Novel Nutraceuticals Sp. z o.o., a limited liability company organised under the laws of the Republic of Poland, with its registered office at ul. Wiertnicza 115, 02-952 Warsaw, Poland, entered in the National Court Register under KRS number 0001056063, NIP 9512577090 and REGON 526300812 ("Novel Nutraceuticals", "we", "us" or "our"), and the individual, business or other legal entity applying to or participating in the Novel Nutraceuticals Affiliate Program ("Affiliate", "you" or "your").
By submitting an application, accepting this Agreement through the Affiliate Platform, accessing an Affiliate account, using an Affiliate Link or Affiliate Coupon, or otherwise participating in the Program, you confirm that you have read, understood and agreed to this Agreement and the Affiliate Privacy Policy available through the Affiliate Portal.
1. Definitions
Affiliate Account means the account created for you on the Affiliate Platform after your application has been approved.
Affiliate Coupon means a unique discount code assigned to you through the Affiliate Platform.
Affiliate Link means a unique tracking link assigned to you through the Affiliate Platform.
Affiliate Platform means BixGrow or any replacement platform selected by Novel Nutraceuticals to operate the Program.
Affiliate Site means any website, social media profile, blog, newsletter, application, community or other channel used by you to promote Products.
Approved Materials means product images, banners, logos, trademarks, product descriptions, claims, links and other promotional materials supplied or approved in writing by Novel Nutraceuticals.
Eligible Net Sale means a valid, completed and successfully paid purchase of Eligible Products that is correctly attributed to you through the Affiliate Platform and remains eligible after the applicable validation period. The value of an Eligible Net Sale is calculated after discounts and excludes VAT or other taxes, delivery and shipping charges, duties, customs charges, payment fees, gift cards, store credit, free products, returned products, cancelled items, refunds, chargebacks and any other amount that Novel Nutraceuticals does not retain as product revenue.
Eligible Products means Products that Novel Nutraceuticals designates as eligible for commission through the Affiliate Platform, the Affiliate Portal, the website or written campaign terms.
Program means the Novel Nutraceuticals Affiliate Program.
Products means products offered through novel-n.com or another official sales channel expressly designated by Novel Nutraceuticals.
2. Application and eligibility
2.1. To apply, you must submit a complete and accurate application through https://novel-n.bixgrow.com/register.
2.2. You must be at least 18 years old, have legal capacity to enter into this Agreement and be legally permitted to conduct affiliate marketing and receive commission in your country.
2.3. If you apply on behalf of a company or other entity, you confirm that you have authority to bind that entity to this Agreement.
2.4. Submission of an application does not guarantee acceptance. Novel Nutraceuticals may request further information and may approve or reject an application based on the suitability, compliance history, audience, content, markets, promotional methods and reputation of the applicant.
2.5. You must keep all application and account information accurate and current. You must promptly notify us of any material change to your identity, ownership, Affiliate Site, promotional methods, contact details, tax status or payment information.
2.6. You may maintain only one Affiliate Account unless Novel Nutraceuticals approves additional accounts in writing. You must not reapply under another identity, email address, domain or account to avoid a rejection, suspension or termination.
2.7. Participation is free. You are not required to purchase Products, recruit other Affiliates or pay any joining fee. No commission is paid merely for recruiting another Affiliate unless separate written terms expressly state otherwise.
3. Affiliate Account and security
3.1. Your Affiliate Account is personal to you and may not be sold, transferred, shared or used by another person without our prior written approval.
3.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Affiliate Account.
3.3. You must immediately notify us at info@novel-n.com if you suspect unauthorised access, loss of credentials or misuse of your Affiliate Account, Affiliate Link or Affiliate Coupon.
3.4. Novel Nutraceuticals may require identity, business, tax, payment or compliance verification before approving an account or processing a payment.
4. Approved Materials and intellectual property
4.1. Subject to this Agreement, Novel Nutraceuticals grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use Approved Materials solely to promote Eligible Products during your participation in the Program.
4.2. All intellectual property rights in Novel Nutraceuticals, SOOL and other brand names, trademarks, logos, packaging, product images, copy and Approved Materials remain the property of Novel Nutraceuticals or the relevant rights holder.
4.3. You may create original promotional content, but all statements about Products must be accurate, lawful, substantiated and consistent with current Approved Materials. Novel Nutraceuticals may require prior approval of any content, translation, claim, advertisement or campaign.
4.4. You must not alter Approved Materials in a way that changes their meaning, creates an unauthorised claim, misrepresents a Product or damages the reputation of Novel Nutraceuticals.
4.5. Without prior written approval, you must not use "Novel Nutraceuticals", "Novel-N", "novel-n.com", "SOOL", any misspelling or any confusingly similar wording in a domain name, subdomain, social media handle, page name, application name, business name, email address, paid advertising account or marketplace account.
4.6. You must not register or attempt to register any trademark, design, domain name, social media account or other right containing or confusingly similar to Novel Nutraceuticals intellectual property.
4.7. You must not state or imply that you are Novel Nutraceuticals, an employee, agent, official representative, distributor, reseller or exclusive partner of Novel Nutraceuticals.
4.8. You must immediately stop using and remove any Approved Material, claim, link, coupon or Product content that is withdrawn, outdated, incorrect, recalled, discontinued or identified by Novel Nutraceuticals as non-compliant.
5. Tracking and attribution
5.1. The Affiliate Platform may use Affiliate Links, Affiliate Coupons, cookies and other tracking technologies to attribute Eligible Net Sales.
5.2. The standard cookie duration is 90 days unless a different period is displayed in your Affiliate Account or stated in written campaign terms.
5.3. Attribution is determined by the Affiliate Platform settings and records in effect when the order is placed, including applicable link, cookie, coupon and attribution rules. Only one Affiliate may receive commission for the same order. No duplicate commission is payable.
5.4. If an Affiliate Link and an Affiliate Coupon associated with different Affiliates are used for the same order, attribution will be determined by the Affiliate Platform records and the Program settings applicable to that order. Novel Nutraceuticals may correct an attribution where records are duplicated, inconsistent, manipulated or clearly erroneous.
5.5. If cookies are blocked, rejected, deleted or overwritten, or tracking fails because of browser settings, privacy tools, device changes, technical failures, incorrect link use or another circumstance outside our reasonable control, the sale may not be attributed and no commission will be due.
5.6. Affiliate Platform and Novel Nutraceuticals records are the primary evidence used to determine attribution, order eligibility and commission. We are not required to accept screenshots, third-party reports or customer statements as proof of attribution.
5.7. You must not interfere with, manipulate or attempt to circumvent tracking, attribution, cookies, coupons, checkout, reporting or commission calculations.
6. Commission, discounts and Eligible Net Sales
6.1. Unless different terms are assigned to your Affiliate Account or agreed in writing, the standard commission rate is 15% of the value of each Eligible Net Sale.
6.2. Where enabled, the standard Affiliate Coupon provides the customer with 15% off Eligible Products. A coupon is subject to Product eligibility, territorial availability, checkout rules and any exclusions displayed on the website or Affiliate Platform.
6.3. Affiliate Coupons may not be combined with another discount, promotion, automatic discount, gift card or offer unless the checkout expressly permits the combination.
6.4. Novel Nutraceuticals may exclude particular Products, collections, subscriptions, bundles, gift cards, sale items, clearance items, wholesale orders, business-to-business orders, marketplaces, territories, customers or campaigns from commission or coupon eligibility.
6.5. Novel Nutraceuticals may change, pause or disable Affiliate Coupons, commission rates, Product eligibility or campaign terms prospectively. Any special terms displayed in your Affiliate Account or communicated in writing apply to the relevant Affiliate, Product, territory or campaign.
6.6. Commission is not payable on:
- cancelled, rejected, unpaid, returned or refunded orders;
- chargebacks, fraudulent orders, test orders or duplicate orders;
- self-referrals or purchases made in breach of this Agreement;
- orders that cannot be validly attributed through the Affiliate Platform;
- taxes, VAT, shipping, delivery, duties, customs charges or payment fees;
- gift cards, store credit, free products, replacements or complimentary items;
- Products, customers, channels, countries or campaigns excluded from eligibility; or
- any amount not retained by Novel Nutraceuticals as eligible product revenue.
6.7. Novel Nutraceuticals does not guarantee any number of clicks, sales, conversions, customers, commission or level of earnings.
7. Validation, payments, currency and taxes
7.1. Commission remains pending until reviewed and approved. The standard holding and approval period is up to 30 calendar days, but may be extended where reasonably necessary to investigate a refund, chargeback, fraud, tracking issue, legal issue, compliance concern or other disputed transaction.
7.2. Only approved commission is eligible for payout. The minimum payout threshold is PLN 200.
7.3. Payout requests may be submitted through the Affiliate Platform once the approved balance reaches the threshold. Payments are made by bank transfer unless Novel Nutraceuticals agrees to another lawful method in writing.
7.4. Subject to complete and accurate payment information, any required invoice and completion of compliance review, Novel Nutraceuticals will normally process an approved payout request within 30 business days.
7.5. Payments are made in PLN unless Novel Nutraceuticals agrees otherwise. If an order or payment is recorded in another currency, conversion may be made using the exchange rate applied by the store, Affiliate Platform, payment provider or bank at the relevant time. Reasonable bank, intermediary bank and currency conversion charges may be deducted from or borne by the Affiliate to the extent permitted by law.
7.6. You must provide accurate bank, identity, tax and invoicing information. Novel Nutraceuticals is not responsible for delay or failed payment caused by incorrect information, missing documentation, banking restrictions, sanctions screening, compliance review or circumstances outside our reasonable control.
7.7. You are solely responsible for determining and fulfilling all tax, VAT, social security, registration, accounting, invoicing and reporting obligations arising from your participation and commission income.
7.8. Novel Nutraceuticals may withhold any tax or other amount where required by law and may request documentation establishing your tax status or entitlement to payment.
7.9. If commission has been approved or paid for an order that is later refunded, cancelled, charged back, found fraudulent or otherwise deemed ineligible, Novel Nutraceuticals may reverse the commission, deduct it from a future balance, set it off against another amount due or request repayment.
7.10. If your participation ends without breach and you have an approved balance below the payout threshold, Novel Nutraceuticals may process a final payment after completion of all validation and documentation requirements. Actual transfer costs may be deducted where lawful.
8. Self-referrals, fraud and prohibited conduct
8.1. Self-referrals are prohibited. You must not use your own Affiliate Link or Affiliate Coupon to make a personal purchase or to obtain commission or a discount for yourself.
8.2. You must not arrange purchases through family members, household members, employees, contractors, related persons, related entities, controlled accounts or another intermediary for the purpose of obtaining commission or circumventing this Agreement.
8.3. You must not use cookie stuffing, forced clicks, hidden redirects, misleading links, adware, spyware, malware, bots, automated traffic, fake accounts, click farms, false leads, order splitting, coupon interception, browser extensions or any other deceptive or artificial method.
8.4. You must not make purchases on behalf of customers, enter customer payment details, impersonate customers or exercise control over a referred customer's checkout unless Novel Nutraceuticals expressly authorises a specific process in writing.
8.5. Suspected fraud, abuse, manipulation or prohibited conduct may result in investigation, suspension, cancellation of discounts, reversal or withholding of commission, termination and recovery of losses.
9. Advertising, Product claims and legal compliance
9.1. You must comply with all laws, regulations, regulatory guidance, advertising codes and platform rules applicable in every country and channel where you promote Products.
9.2. You must promote Products only in markets where the relevant promotion and sale are lawful and where Novel Nutraceuticals makes the Products available. You are responsible for checking local requirements before publishing content.
9.3. You must not make any medical, medicinal, therapeutic, disease-related or unauthorised health claim about a Product.
9.4. You must not state or imply that a Product diagnoses, treats, cures or prevents any disease, disorder or medical condition, or that it replaces professional medical advice, diagnosis, medication or treatment.
9.5. You must not provide dosage, safety, medical or therapeutic advice unless the exact statement has been approved in writing by Novel Nutraceuticals and is lawful in the relevant market.
9.6. Nutrition and health claims must be authorised and used in accordance with all applicable conditions. General wellness language must not imply an unauthorised specific health benefit.
9.7. You must not make false, misleading, exaggerated, unsubstantiated or comparative claims about Product quality, ingredients, origin, sustainability, efficacy, results, scarcity, pricing or discounts.
9.8. You must not alter, obscure or contradict mandatory warnings, instructions, ingredient information, age restrictions or safety information.
9.9. You must not promote Products to children or create content primarily directed at minors.
9.10. You remain responsible for content created with artificial intelligence, automation, contractors, agencies or any other third party acting for you.
9.11. You must immediately stop or amend a promotion if requested by Novel Nutraceuticals because of a legal, regulatory, product safety, intellectual property or reputational concern.
10. Advertising disclosure and endorsements
10.1. All affiliate content must be clearly identifiable as commercial communication. You must clearly and prominently disclose your commercial relationship with Novel Nutraceuticals whenever content contains an Affiliate Link, Affiliate Coupon, gifted Product, paid placement, commission-based recommendation or other incentive.
10.2. The disclosure must be easy to notice, understand and read before or when the audience first engages with the commercial content, link or recommendation. It must not be hidden in collapsed text, unclear hashtags, a profile page, small print or a location that users are unlikely to see.
10.3. You must use clear wording appropriate for the relevant language, country and platform, such as "advertisement", "ad", "paid partnership", "affiliate link", "commission link" or a legally required equivalent. Platform disclosure tools must be used where required but do not replace any additional disclosure required by law.
10.4. You must express honest opinions based on genuine experience and must not publish fake reviews, fake testimonials, fabricated results, undisclosed endorsements or misleading before-and-after content.
11. Restricted promotional practices
11.1. Without prior written approval, you must not:
- bid on or purchase paid search keywords containing Novel Nutraceuticals, Novel-N, novel-n.com, SOOL, any Product name, misspelling or confusingly similar brand term;
- run advertisements that link directly to a Novel Nutraceuticals website or imply that the advertisement is official brand advertising;
- publish Affiliate Coupons on coupon, voucher, deal, cashback, loyalty, toolbar, browser extension or discount interception websites;
- use pop-ups, pop-unders, forced redirects, domain forwarding, typosquatting or misleading URLs;
- promote Products through marketplaces, resale platforms or third-party shops;
- resell, redistribute or dropship Products; or
- appoint sub-affiliates, agents or networks to promote Products on your behalf.
11.2. You must not advertise expired, fake, leaked, unauthorised or misleading coupon codes or describe a coupon as exclusive unless Novel Nutraceuticals confirms exclusivity in writing.
11.3. You must not use spam, unsolicited email, unsolicited SMS, unsolicited direct messages, purchased or scraped contact lists, automated messaging or any unlawful electronic marketing.
11.4. Any permitted email or direct marketing must be sent only where a valid legal basis exists and must include the sender's identity, the commercial nature of the message and any legally required unsubscribe mechanism.
11.5. You must not publish defamatory, discriminatory, violent, sexually explicit, illegal, hateful or otherwise unlawful content in connection with the Program.
12. Product safety, recalls and regulatory action
12.1. If Novel Nutraceuticals notifies you of a Product recall, withdrawal, safety notice, label correction, regulatory restriction or discontinued claim, you must immediately stop the affected promotion and follow all removal, correction and communication instructions.
12.2. You must not promote a recalled, withdrawn, expired, counterfeit, tampered or unlawfully supplied Product.
12.3. You must promptly forward to Novel Nutraceuticals any serious complaint, adverse event, product safety report, regulatory enquiry or allegation concerning a Product that you receive in connection with your affiliate activity. You must not respond on behalf of Novel Nutraceuticals or provide medical advice.
13. Data protection and privacy
13.1. Each party must comply with applicable data protection, privacy, cookie and electronic marketing laws, including the GDPR and applicable ePrivacy rules.
13.2. You are independently responsible for the lawfulness of personal data processed through your Affiliate Site, mailing lists, analytics, pixels, cookies, direct messages and promotional activity, including all required notices, consents, security measures and data subject rights.
13.3. You must not collect, scrape, purchase, disclose or otherwise process personal data unlawfully. You must not attempt to obtain Novel Nutraceuticals customer personal data through the Program.
13.4. Novel Nutraceuticals does not share customer contact or payment details with Affiliates through the ordinary operation of the Program. If either party needs to process personal data on behalf of the other, the parties must first enter into any data processing terms required by law.
13.5. You must implement appropriate technical and organisational security measures and notify Novel Nutraceuticals without undue delay of any personal data breach or security incident that may affect Novel Nutraceuticals, its customers, the Program or the Affiliate Platform.
13.6. Information about Novel Nutraceuticals processing of Affiliate personal data is provided in the Affiliate Privacy Policy available through the Affiliate Portal.
14. Monitoring, records and cooperation
14.1. Novel Nutraceuticals may monitor Affiliate Sites and traffic sources to verify compliance, investigate complaints, protect customers and maintain the integrity of the Program.
14.2. On request, you must promptly provide reasonable evidence of your traffic sources, disclosures, promotional placements, claims, audience markets, consents and compliance with this Agreement.
14.3. You must retain reasonable records supporting your compliance and commission claims for at least 24 months after the relevant promotion or transaction, or longer where required by law.
14.4. Failure to cooperate with a reasonable compliance request may result in suspension of your Affiliate Account and pending payments until the review is completed.
15. Suspension and termination
15.1. You may terminate your participation at any time by written notice to info@novel-n.com or through an account closure function where available.
15.2. Novel Nutraceuticals may suspend your Affiliate Account, Affiliate Link, Affiliate Coupon, tracking or payments while investigating suspected fraud, legal risk, policy breach, product safety concern, inaccurate information or other conduct that may harm customers, the Program or Novel Nutraceuticals.
15.3. Novel Nutraceuticals may terminate this Agreement on written or email notice. Immediate termination may occur for a material breach, fraud, tracking manipulation, self-referral, spam, unauthorised advertising, coupon abuse, unlawful claims, failure to disclose advertising, misuse of intellectual property, data protection breach, product safety risk or failure to cooperate with a compliance review.
15.4. From the effective time of termination, new sales will no longer qualify for commission. You must stop using Affiliate Links, Affiliate Coupons and Approved Materials and remove references suggesting a current commercial relationship within 3 business days or sooner if requested for legal or safety reasons.
15.5. If termination is not related to your breach, approved commission will remain payable subject to this Agreement. If termination results from breach, fraud or prohibited conduct, Novel Nutraceuticals may deny or reverse affected pending or unapproved commission and may set off losses or amounts lawfully owed against an approved balance.
15.6. Termination does not affect accrued rights or provisions that are intended to survive, including payment adjustments, tax obligations, confidentiality, intellectual property, data protection, indemnification, limitation of liability, governing law and dispute provisions.
16. Confidentiality
16.1. Confidential Information means non-public business, commercial, financial, technical, customer, Product, pricing, campaign, commission, performance and marketing information disclosed in connection with the Program.
16.2. Each party must protect the other party's Confidential Information, use it only for the purposes of this Agreement and disclose it only to persons who need it for those purposes and are bound by appropriate confidentiality obligations.
16.3. Confidentiality obligations do not apply to information that is lawfully public, already known without restriction, independently developed, lawfully received from a third party or required to be disclosed by law. Where legally permitted, the receiving party must give prompt notice before a required disclosure.
17. Independent contractor, warranties and indemnification
17.1. You participate as an independent contractor. Nothing in this Agreement creates employment, agency, partnership, joint venture, franchise, distributorship, reseller status, fiduciary relationship or authority to bind Novel Nutraceuticals.
17.2. You are responsible for your own equipment, expenses, personnel, contractors, insurance, licences, registrations and business operations.
17.3. You represent and warrant that:
- you have authority to enter into and perform this Agreement;
- your Affiliate Sites, content and promotional methods comply with applicable law and third-party rights;
- you own or have permission to use all content and data used in your promotions;
- information supplied to Novel Nutraceuticals is accurate and not misleading; and
- you are not subject to sanctions or restrictions that would make participation or payment unlawful.
17.4. To the extent permitted by law, you will indemnify and hold harmless Novel Nutraceuticals and its officers, employees and representatives from third-party claims, regulatory actions, fines, losses, damages and reasonable costs arising from your breach of this Agreement, unlawful promotion, unauthorised claims, Affiliate Site, infringement of third-party rights, data protection practices, fraud, negligence or wilful misconduct.
17.5. Novel Nutraceuticals will give reasonable notice of an indemnified claim and may control its defence and settlement. You must provide reasonable cooperation and must not settle a claim in a manner that admits liability or imposes an obligation on Novel Nutraceuticals without our prior written approval.
18. Program availability and limitation of liability
18.1. The Program, Affiliate Platform, tracking, links, coupons, dashboard and reporting are provided on an "as is" and "as available" basis. Novel Nutraceuticals does not guarantee uninterrupted or error-free availability.
18.2. Novel Nutraceuticals is not liable for tracking failures, platform outages, deleted or rejected cookies, third-party service failures, changes to social media or advertising platforms, loss of audience access or failure of a promotion to generate income, except where liability cannot lawfully be excluded.
18.3. To the maximum extent permitted by law, Novel Nutraceuticals is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, opportunity, goodwill, anticipated savings, data or reputation.
18.4. To the maximum extent permitted by law, Novel Nutraceuticals' total aggregate liability arising from or relating to the Program or this Agreement will not exceed the total commission paid or payable to you during the 6 months immediately preceding the event giving rise to the claim.
18.5. Nothing in this Agreement excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
19. Changes to the Program and this Agreement
19.1. Novel Nutraceuticals may change, suspend or discontinue the Program, Affiliate Platform, commission structure, coupon structure, Product eligibility, tracking method, payment method or campaign terms prospectively.
19.2. Novel Nutraceuticals may amend this Agreement by publishing an updated version on the website or Affiliate Portal and, for material changes, by providing reasonable notice through email or the Affiliate Platform. Changes required by law, security, fraud prevention, product safety or platform operation may take effect immediately.
19.3. If you do not agree to a change, you must stop participating and terminate your Affiliate Account before the change takes effect. Continued participation after the effective date constitutes acceptance of the updated Agreement.
20. Notices, governing law and general provisions
20.1. Notices to Novel Nutraceuticals must be sent to info@novel-n.com. Notices to you may be sent to the email address in your Affiliate Account or displayed through the Affiliate Platform. You are responsible for keeping your email address current.
20.2. Before starting court proceedings, each party should give written notice of the dispute and allow at least 30 days for good-faith resolution, unless urgent relief or a legal deadline requires earlier action.
20.3. This Agreement is governed by the laws of the Republic of Poland, without regard to conflict-of-law rules. Subject to any mandatory jurisdiction or legal rights that cannot be excluded, the courts competent for Warsaw, Poland will have exclusive jurisdiction.
20.4. This Agreement, the Affiliate Privacy Policy, any special terms assigned to your Affiliate Account and any written campaign terms constitute the entire agreement relating to your participation. If terms conflict, the specific campaign terms apply to that campaign, the terms assigned to your Affiliate Account apply to your account and this Agreement applies in all other respects.
20.5. You may not assign, transfer, subcontract or delegate this Agreement or your participation without prior written approval. Novel Nutraceuticals may assign this Agreement in connection with a merger, acquisition, reorganisation, sale of assets, change of control or transfer of the Program or business.
20.6. Failure or delay in enforcing a provision is not a waiver. A waiver is effective only if made in writing.
20.7. If any provision is held invalid, unlawful or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.
20.8. Novel Nutraceuticals is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemic, government action, sanctions, labour disruption, telecommunications failure, cyberattack, payment network failure, platform outage or interruption of supply or logistics.
20.9. Headings are for convenience only. Words such as "including" mean "including without limitation". Electronic acceptance and electronic records have the same effect as written acceptance and records to the extent permitted by law.
20.10. The English version of this Agreement governs. Any translation is provided for convenience only, unless mandatory law requires otherwise.

22. Acceptance
By submitting an application, accepting this Agreement through the Affiliate Platform, accessing your Affiliate Account, using an Affiliate Link or Affiliate Coupon, or otherwise participating in the Program, you acknowledge that you have read, understood and agreed to be bound by this Agreement.
